Our Company was originally incorporated as Teerth Gopicon Private Limited', at Ahmedabad as a private limited company registered under the provisions of Companies Act, 2013 pursuant to a Certificate of Incorporation dated October 10,2019 bearing Corporate Identification Number U45209GJ2019PTC110249 issued \by the Registrar of Companies, Central Registration Centre Subsequently, our Company was converted into a public limited Company pursuant to a special resolution passed by our shareholders at the EGM held on July 31, 2021 and a fresh certificate of incorporation was issued by the Registrar of Companies, Ahmedabad dated August 05, 2021. Consequently, the name of our Company changed to " Teerth Gop*con Limited'and The Corporate Identification Number of our Company is U45209GJ2019PLC110249. INITIAL PUBLIC ISSUE OF 39,99,600 EQUITY SHARES OF FACE VALUE OF RS.10/- EACH OF TEERTH GOPICON LIMITED ("TGL" OR THE "COMPANY" OR THE "ISSUER") FOR CASH AT A PRICE OF RS.111 PER EQUITY SHARE INCLUDING A SHARE PREMIUM OF Rs. 101 PER EQUITY SHARES (THE "ISSUE PRICE") AGGREGATING TO RS.4439.55 LACS ("THE ISSUE"), OF WHICH 2,00,400 EQUITY SHARES OF FACE VALUE OF Rs.10/- EACH FOR CASH AT A PRICE OF Rs.111 PER EQUITY SHARE INCLUDING A SHARE PREMIUM OF Rs. 101 PER EQUITY SHARE AGGREGATING TO RS. 222.44 WILL BE RESERVED FOR SUBSCRIPTION BY MARKET MAKER TO THE ISSUE (THE "MARKET MAKER RESERVATION PORTION"). RISK TO INVESTORS

1. Our business is concentrated in the state of Madhya Pradesh and any adverse development affecting our operations in the state could have an adverse impact on our business, financial condition and results of operations.

2. We do not own registered office situated at Ahmedabad and Corporate office situated in Indore.

3. We operate in a highly competitive environment.

4. We derive a significant portion of our revenues from a limited number of clients. The loss of any significant clients may have an adverse effect on our business, financial condition, results of operations, and prospectus.

5. Delay in completion of projects may affect our reputation and revenue adversely.

In terms of Regulation 253(2) of the SEBIICDR Regulations, as present issue is a fixed price issue 'the Allocation' is the net issue to the public category has been be made as follows: (a) minimum 50% to Retail Individual Investors: and (b) Remaining to: (i) individual applicants other the retail individual investors and (ii) other investors including corporate bodies or institutions, irrespective of the number of specified securities applied for. The unsubscribed portion in either of the categories specified in (a) or (b) above may be allocated to the applicants in the other category.

This issue is being made through Fixed Price Process in terms of Chapter IX of the Securities And Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018 as amended ("SEBI ICDR Regulations") and allocation in the net issue to the public will be made in terms of regulation 253 of the SEBI ICDR Regulations. In terms of the Regulation 19(2)(B)(I) of the Securities Contracts (Regulations) Rules, 1957, as amended (the "SCRR"), the issue is being made for at least 25% of the post-paid-up Share capital of our Company. All the bidders, shall participate in the issue through the Application Supported by Blocked Amount ("ASBA") process by providing details of their respective bank account (including UPIID for Rlls using UPI Mechanism) wherein the bid amount will be blocked by the SCSBs or under the UPI mechanism, as the case may be, to the extent of respective Bid amounts. For details Please refer to chapter titled "Issue Procedure" beginning on Page 195 of the Prospectus.

The Equity Shares of the Company are proposed to be listed on the SME Platform of National Stock Exchange of India Limited ("NSE Emerge"), in terms of the Chapter IX of the SEBIICDR Regulations. Our Company has received in-principle approval from National Stock Exchange of India Limited (NSE) for the listing of Equity Shares pursuant to letter dated April March 21,2024. NSE is the Designated Stock Exchange for the purpose of this Issue. The trading is proposed to be commenced on or before Tuesday, April 16.2024 (Subject to receipt of listing and trading approvals from the NSE Limited).

SUBSCRIPTION DETAILS

The Issue has received 266841600 applications (excluding the multiple, duplicate bids. Cancelled bids or withdrawal bids) for 49.99.200 Equity Shares (before technical rejections) resulting in 66.72 times subscription (including reserved portion of Market Maker) as disclosed in the Prospectus. The Board of Directors of the Company at its meeting held on April 12,2024 has taken on record the Basis of Allocation of Equity Shares approved by the Designated Stock Exchange and has authorized the corporate action for the transfer of the Equity Shares to various successful applicants.

The refund I allotment intimation will be dispatched to the address of the Applicants as registered with the depositories on or about Apnl 15,2024. Further, the instructions to Self- Certified Syndicate Banks for unblocking the amount will be processed on or prior to April 15.2024. In case the same is not received within ten days, investors may contact Registrar at the address given below.

The Equity Shares allocated to successful applicants are being credited to their beneficiary accounts subject to validation of the account details with the depositories concerned. The Company is taking steps to get the Equity Shares admitted for trading on BSE within six working days from the date of the closure of the Issue.
